The corporate finance segment engages in provision of sponsoring and underwriting services to corporate clients for their fund raising activities in equity and debt capital markets, and also engages in provision of advisory service and financing solutions to corporate clients for their corporate actions such as mergers and acquisitions as well as assets restructuring, etc.

With strong support of our parent company and the rapid expansion of the overseas markets, Haitong International’s Corporate Finance team is able to effectively combine local market expertise, ample China connections, and global investor coverage to provide equity and equity-linked fundraising solutions for our clients. Our suits of products and services covers, Initial public offerings (hereinafter “IPOs”), secondary offerings, rights issues, convertible bonds and pre-IPO fundraisings.

Haitong International is well positioned in the Greater China and Southeast Asian markets. We offer clients with a wide range of bond capital market service. We have a deep understanding of bond market and have extensive experience meeting diversified client needs for bond and structural financing.
Our services cover new issuance of fixed income products, including issue structure design, offshore debt quota application, document preparation, international rating advisor, ESG advisor, bond syndication, roadshow, bond listing, etc., as well as liability management and other fields.
As one of the market leaders, Haitong International has rich experience in the bond issuance of state-owned enterprises, financial institutions and local government financing vehicles (LGFV) sectors; and has achieved a leading market share in the field of liability management.
Our product spectrum includes investment grade and high-yield senior bonds, convertible bonds/exchangeable bonds, asset-backed securities, liability management and restructuring, etc. Issuance currencies include various currencies such as U.S. dollars, euros, RMB and Hong Kong dollars, which can meet the customized financing needs of different types of clients.
Having solid relationships with a large number of sizeable PRC onshore and offshore enterprises, Haitong International is capable of tailoring a variety of original and well-structured transactions to meet clients’ specific business objectives. We have expertise across the complete corporate activity spectrum including mergers, acquisitions, private fund raising, expansion capital, takeovers, divestments, buy-in, special situation, privatizations and corporate restructuring proven by our excellent track record including the provision of financial advisory services to a number of significant cross-border M&A and shell acquisition transactions.
Haitong International has a global platform providing tailor made private financing solutions to its client base through its Loan Capital Markets & Special Situations Group team. It serves various client needs across M&A financing, pre-IPO financing, special situation financing, project financing, asset backed financing and bridge financing among others. We are one of leading market players with extensive structuring and execution experience in the private financing area. With our global reach, we are able to assist our clients’ expansion in the various parts of the world. Our products serve the clients at different development stages and cover the most parts of the capital structure (e.g. senior / mezzanine loan, structured private note, convertible instrument) of a company.

Supported by a strong distribution network, Haitong International has completed over 1500 transactions in global primary and secondary capital markets including IPOs, underwriting, secondary placements for listed companies and bond issuances.
According to Bloomberg, Haitong International ranked 1st in Hong Kong in terms of the total number of IPOs league table for the period between 2012 and 2022.
Haitong International forged ahead in the overseas capital markets. In 2022, Haitong International completed 1 Special Purpose Acquisition Company (SPAC) listing deal in the United States. This is the first-ever SPAC underwritten by a Chinese investment bank through its entity in the United States. In conjunction with its parent company, Haitong International actively participated in the global depositary receipt (GDR) business during the year and completed 4 European GDR projects in 2022. In the Southeast Asian market, Haitong International has completed 2 financial advisory projects for local enterprises in India.
According to Bloomberg, Haitong International has led 37 Chinese liability management deals, ranking No.1 in the liability management bond table among Chinese-funded Enterprises, for the period from 2021 to 2022.
Standing by its ESG philosophy and sustainable finance principles, Haitong International completed 64 green and sustainable bond issuances for the period from 2021 to 2022, with total financing amount exceeded US$19.8 billion, being a forerunner among Chinese financial institutions in the ESG sphere.
